These Terms of Service ("Terms") govern your use of the website located at www.ElderLifeTransitions.net (the "Site") and the senior placement referral and consulting services ("Services") provided by Elder Life Transitions ("we," "us," or "our").

By accessing or using our Site and Services, you agree to comply with and be bound by these Terms.

1. Description of Services and Fee Structure

Elder Life Transitions operates primarily as a Senior Placement Referral Agency but may offer separate Consulting Services.

A. Referral Service (No Fee to Client)

The Referral Service assesses a client's support needs, budget, and location preferences to provide a shortlist of compatible residential options from our network.

• Fee Structure: This Referral Service is provided to the client and their family free of charge. We receive a fee directly from the senior living community upon successful resident move-in.

• No Direct Care: We do not provide, manage, or supervise any form of healthcare, skilled nursing, or personal care services.

B. Consulting and Coaching Services (Separate Fee)

If offered, Consulting or Coaching Services (the "Consulting Service") are separate from the core Referral Service and may be subject to an hourly or fixed fee.

• Scope: Consulting Services are limited to generalized assistance with long-term planning, resource identification, system navigation, and caregiver support strategies.

• Fee Disclosure: You will be provided with a separate, written agreement and fee schedule before any Consulting Service is rendered. This Consulting Fee is distinct from the commission received for the Referral Service.

2. Mandatory Disclosures and Limitation of Advice

• Colorado Law Disclosure: We will provide a separate, written disclosure of our business relationship with any community before referral, as required by Colorado state law.

• Limitation of Advice (Applies to All Services): You acknowledge and agree that we do not provide medical, clinical, legal, or financial advice. You must rely on your own doctors, attorneys, and financial advisors for all medical, legal, and fiduciary decisions.

• Vetting: While we vet communities based on operational, safety, and regulatory compliance standards, we cannot guarantee the absence of future issues within a community.

• Client Termination Right: You or your representative have the right to terminate our Services at any time and for any reason without penalty or obligation.

3. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

4. Limitation of Liability

You agree that Elder Life Transitions will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:

• The use or inability to use the Service.

• The cost of procurement of substitute goods and services.

• The quality of care or the outcome of any placement decision.

5. Indemnification

You agree to indemnify, defend, and hold harmless Elder Life Transitions from and against any claims, losses, damages, liabilities, and expenses arising out of your misuse of the Site, your selection of a community, or your breach of these Terms.

6. General Provisions

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

• Website Use: You agree not to misuse the Site, introduce viruses, or attempt to gain unauthorized access to our systems. All content on the Site (text, graphics, logos) is the property of Elder Life Transitions.

• Changes to Terms: We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site.
